These Approval Terms (“Agreement”) outline the rules, responsibilities, and expectations for approving content, materials, AI-assisted output, advertisements, automated posts, website/blog publications, and any submissions made under or in association with Bangs & Hammers™ or Spuncksides Promotion Production LLC (“the Company”).

 All users, partners, contractors, contributors, and automated systems must comply with these terms.

By submitting, generating, reviewing, or approving content, you accept the terms below.

1. DEFINITIONS

“User” refers to any person, business, partner, contributor, or system interacting with Company content or approval workflows.

“Approval” means formal acceptance for publication, posting, distribution, automation, or use.

“Content” includes:

Website posts

Blog entries

Marketing copy

• Social media posts
• Automated Facebook posts
• Paid ads
• SEO content
• AI-generated drafts
• Videos, graphics, and written materials
• Partner-submitted materials

“AI-Assisted Output” refers to any text, copywriting, drafts, captions, summaries, or automation tools enhanced or supported by artificial intelligence connected to the Company.

2. USER RESPONSIBILITY BEFORE APPROVAL

Before approving any content, the User agrees to:

• Review all text for accuracy, clarity, grammar, legality, and completeness
• Confirm all claims are factual and non-deceptive
• Verify that no confidential, personal, or sensitive data has been included
• Ensure compliance with laws, platform policies, and ethical guidelines
• Check that AI-generated content does not contain errors, hallucinations, or harmful statements

Ensure no proprietary third-party or trademarked content is improperly used

Validate links, images, and calls-to-action

Ensure all necessary disclosures (FTC, advertising, affiliate) are included if applicable

Users accept full responsibility for the quality and correctness of content they approve.

3. COMPANY APPROVAL PROCESS

The Company reserves the right to:

• Approve or deny any submission
• Request revisions
• Withhold approval for any reason
• Delay approval for compliance or quality checks
• Require documentation or evidence supporting claims in content
• Remove previously approved content if issues arise
• Establish additional approval layers for compliance, legal, or operational needs

Approval does not create endorsement, partnership, or legal relationship unless explicitly stated.

4. USE OF AI-GENERATED CONTENT

AI-assisted content must always be reviewed by a human before approval.  Users understand that:

AI output may contain inaccuracies or fabricated details

AI is not a substitute for legal, financial, or professional review

AI cannot determine regulatory compliance

• AI may produce text requiring significant human editing

Any AI-assisted content used without review is at the User’s own risk.

5. AUTOMATED POSTING APPROVAL TERMS

For automated posting systems, including Website/Blog-to-Facebook automation:

• Users control approval settings
• Users may choose manual review or auto-publish
• If auto-publish is enabled, users accept full responsibility for the published content
• The Company is not responsible for unintended posts caused by:

○ User misconfiguration

○ Errors in drafts

○ API limitations

○ Platform outages

○ Timing conflicts

• The system will not override human approval unless the user chooses auto-publish explicitly

Users remain fully accountable for all automated output.

6. THIRD-PARTY MATERIAL APPROVAL

If users submit content from third parties, they confirm that:

• They have permission to use the material
• Copyright or licensing rules are followed
• Trademark and brand guidelines are respected
• No proprietary content is included without authorization

The User indemnifies the Company from legal claims related to improper third-party use.

7. CHANGES AFTER APPROVAL

The Company may revoke or modify approval if:

• Content becomes outdated
• New compliance issues arise
• Platform rules change
• Errors or misleading content are discovered
• Complaints or legal notices are received
• Brand integrity is threatened

Users must remove or update content upon request.

8. DISCLAIMERS REGARDING APPROVAL

Approval by the Company does NOT guarantee:

• Accuracy
• Compliance
• Legal sufficiency
• SEO performance
• Advertising approval by external platforms
• Financial, investment, or business outcomes

Users remain solely responsible for the consequences of their approval decisions.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company is NOT liable for:

• Mistakes in approved content
• AI-generated inaccuracies
• Automated posting errors
• Misuse of Company systems
• Legal or financial outcomes based on approved content
• Third-party claims arising from User-approved materials

Users agree to indemnify the Company for damages or disputes stemming from their approved content.

10. TERMINATION OF APPROVAL RIGHTS

The Company may revoke a User’s right to approve or submit content if:

• Terms are violated
• Harmful content is approved
• Unauthorized brand usage occurs
• AI tools are misused
• Fraudulent or misleading content is published
• The User poses a risk to Company integrity or compliance

Termination does not entitle the User to compensation.

11. GOVERNING LAW

This Agreement is governed by the laws of the State of Michigan and applicable U.S. federal regulations.
