COPYWRITING TERMS & CONTENT USE AGREEMENT

This Copywriting Terms & Content Use Agreement (“Agreement”) establishes the rights, responsibilities, and expectations between you (“the User”) and Spuncksides Promotion Production LLC, operating under the brand Bangs & Hammers™ (“the Company”), for any copywriting content, marketing materials, automated posts, templates, text outputs, or written digital assets provided by, created for, or generated through the Company’s tools, services, or platforms. By accessing, purchasing, downloading, or using any Bangs & Hammers copywriting material, you agree to the following terms.

1. Definitions

“Copywriting Content” includes any written text, captions, website copy, blog content, marketing material, ad copy, automation scripts, templates, prompts, descriptions, or drafts created by or provided through Bangs & Hammers or Spuncksides Promotion Production LLC.

“Tools & Systems” include AI-powered assistance, automated posting workflows, templates, calculators, content-generating utilities, and any features provided through the Bangs & Hammers platform.

“User” refers to any individual or business accessing or using these services or materials.

“Company” refers to Spuncksides Promotion Production LLC.

2. Ownership of Copywriting Content

All original copywriting, templates, and materials created by the Company remain the intellectual property of Spuncksides Promotion Production LLC, unless otherwise stated in writing. Upon purchase or authorized use, the User receives a non-exclusive, non-transferable license to use the content for their own business or personal purposes.

You may NOT:

Resell the content

Offer the content as your own service

Distribute templates as downloadable files

Publish proprietary materials in public marketplaces

Use content to train models or AI systems outside the Company’s ecosystem You MAY:

Use the content on your website, blog, advertising, landing pages, or social platforms

Adapt or edit the content for your business

Use the materials as part of your internal operations

3. AI-Assisted Content Notice

Some copywriting content may be created, enhanced, or drafted with AI-assisted tools or automation workflows.

By using these materials, you acknowledge that:

AI outputs must always be reviewed and approved by a human before use

The Company does not guarantee the factual accuracy of AI-generated drafts

AI-generated suggestions do not constitute professional, legal, or financial advice

You accept full responsibility for any content you publish or act upon

The Company does not provide or claim professional expertise in:

Law

Finance

Accounting

Licensing

Tax or investment requirements

AI-enhanced materials are offered strictly for education and creative support.

4. User Responsibilities

You agree to:

Review all content before use

Ensure copy aligns with your brand, legal requirements, and regulatory obligations

Not use any copywriting materials in misleading, deceptive, harmful, or unlawful ways

Not publish content that infringes on intellectual property rights

Maintain compliance with advertising rules (FTC, state disclosures, platform policies) Users bear full responsibility for:

Final approvals

Accuracy

Claims made in their marketing

Regulatory compliance

Edits made to copywriting content

5. Use of Copywriting Content in Automated Posting Systems

If using the Bangs & Hammers Website/Blog-to-Facebook Automated Posting System:

You control all content used in automated posts

You must review and approve prepared drafts unless you intentionally enable auto-publish

You are responsible for ensuring that scheduled content is accurate and appropriate

You maintain full ownership and control of your accounts

The Company is not responsible for unintended posts, errors, or scheduling conflicts Automation exists to assist your workflow — not replace human oversight.

6. Restrictions on Misuse

You may not use Company copywriting content to:

Publish false, misleading, or fraudulent claims

Violate platform policies (such as Facebook, Instagram, YouTube, Google Ads, etc.)

Automate harmful, defamatory, or malicious communication

Misrepresent your identity or impersonate the Company

Train competing AI systems using Company content

Build derivative digital products for resale based on Company templates

Violation of these terms may result in immediate termination of content licensing and possible legal action.

7. Licensing & Permitted Use

7. Your license allows you to:

Publish the content in your marketing

Modify or edit the content for clarity or tone

Use content across multiple platforms

Integrate the content into your email marketing, blog posts, websites, or ads Your license does not allow:

Repackaging the content as your own template

Uploading Company materials to public file-sharing platforms

Offering the Company’s content as a service to clients

Selling any derivative work built on top of Company copywriting

If you wish to obtain a commercial resale license, you must request written approval.

8. Attribution (Optional)

Attribution is not required, but if you willingly credit the source, recommended language is:

“Copywriting support provided by Bangs & Hammers / Spuncksides Promotion Production LLC.”

9. No Guarantees or Warranties

The Company does not guarantee:

Business outcomes

Sales or engagement results

Conversion rates

Ranking improvements

Investment performance

Social media visibility

Automation success on third-party platforms

All copywriting materials are provided “AS-IS” and “AS AVAILABLE.”

The User acknowledges that marketing and publishing results vary widely.

10. Limitation of Liability

To the fullest extent permitted by law, the Company is not liable for:

Losses arising from your use of the copywriting content

Errors, omissions, or inaccuracies in any draft

Misuse or misapplication of automation systems

Harmful outcomes caused by AI-generated suggestions

Third-party platform outages, restrictions, or penalties

Legal or financial consequences of content you publish

Users agree to indemnify Spuncksides Promotion Production LLC from claims arising from the User’s actions.

11. Termination of Access

The Company reserves the right to restrict or revoke content licenses if:

The User violates this Agreement

The User misuses proprietary materials

The User repackages, resells, or distributes protected content

Harmful or unethical usage is detected

Termination does not entitle the User to a refund.

12. Updates to Terms

These Copywriting Terms may be updated periodically to reflect:

New regulations

AI policy changes

Automation platform changes

Business updates

Expanded tools or templates offered

Continued use of Company materials constitutes acceptance of updated terms.

13. Governing Law

This Agreement is governed by the laws of the State of Michigan, where Spuncksides Promotion Production LLC operates, without regard to conflict-of-law principles.
