This Search Engine Optimization Terms Agreement (“Agreement”) outlines the responsibilities, rights, restrictions, and expectations related to SEO activities performed by or in association with Bangs & Hammers™ and Spuncksides Promotion Production LLC (“the Company”).  These terms apply to all users, partners, contributors, contractors, and entities using Company websites, content, tools, automation systems, or digital assets for SEO purposes.

By engaging in SEO practices related to Company platforms, you accept this Agreement.

1. DEFINITIONS

“SEO” means all practices intended to improve visibility in search engines, including Google, Bing, Yahoo, and others.

“User” refers to anyone performing SEO activities connected to Bangs & Hammers or Spuncksides Promotion Production LLC.

“Company Content” refers to all written text, metadata, headings, scripts, images, banners, templates, and AI-assisted copy provided by or created for the Company.

“SEO Activities” include:

• Keyword research

• On-page optimization

• Meta tags and descriptions

• Internal linking

• Off-page SEO and backlink building

• Website updates, structural edits, and content expansion

• Third-party listings, citations, and directory submissions

2. PERMITTED SEO ACTIVITIES

Authorized users and partners may perform SEO work on behalf of the Company under the following conditions:

• Use official Company websites, blogs, landing pages, and approved subdomains

• Optimize content for search engines using ethical, white-hat methods

• Improve readability, accessibility, and content structure

• Add or modify keywords in alignment with brand messaging

• Create or optimize articles, blog posts, and educational resources

• Submit Company pages to directories, Google Search Console, and approved SEO tools

• Make recommendations for technical improvements in site speed, indexing, and mobile usability

3. PROHIBITED SEO PRACTICES

The following activities are strictly prohibited:

1. Keyword stuffing

2. Cloaking or deceptive content practices

3. Hidden text, doorway pages, or deceptive redirects

4. Automated backlink software, link spamming, or link farms

5. Creating fake reviews, testimonials, or endorsements

6. Manipulating rankings through black-hat or grey-hat tactics

7. Using Company content to build competing SEO assets

8. Publishing duplicate or spun content without approval

9. Embedding malware, malicious scripts, or unauthorized tracking

10. Training external AI systems on Company content without permission

Any action that risks search engine penalties is forbidden.

4. OWNERSHIP OF SEO CONTENT

All SEO-optimized content, articles, metadata, and materials created for or by the Company become the intellectual property of: Spuncksides Promotion Production LLC

Users may not:

• Reuse Company content for personal or competing websites

• Publish Company content on private blogs or public repositories

• Claim ownership of copywriting, metadata, or SEO strategy

All assets remain exclusive to the Company unless explicitly licensed.

5. USE OF AI-GENERATED SEO CONTENT

AI-assisted text may be used for SEO purposes under the following conditions:

• All AI-generated content must be reviewed by a human

• Content must be fact-checked for accuracy

• AI outputs may not include unverified claims

• AI text may not be used for spam or automated blog posting

• AI content must adhere to SEO quality standards and Google’s content policies

Users accept full responsibility for verifying AI-enhanced SEO content before publishing.

6. USER RESPONSIBILITY FOR SEO ACCURACY

The User agrees to:

• Ensure all SEO changes comply with Google Search Essentials

• Avoid making unapproved changes to Company websites

• Monitor content for outdated or inaccurate information

• Maintain consistent brand messaging

• Use keywords ethically and in context

• Maintain factual correctness of all claims

The Company is not responsible for:

• Ranking changes

• Algorithm updates

• SEO penalties caused by improper user actions

• Errors or misinformation inserted by users or third-party tools

7. BACKLINK PRACTICES & OFF-PAGE SEO

Users may:

• Build backlinks from legitimate, high-quality sources

• Submit the Company to local listings and directories

• Engage in public relations to strengthen organic mentions

Users may NOT:

• Purchase backlinks

• Build links from inappropriate or spammy websites

• Start aggressive link exchanges

• Use link wheels, PBNs, or automated link systems

All backlinks must be natural, relevant, and contextually aligned with the Company’s mission.

8. TECHNICAL SEO TERMS

Users may propose or execute technical SEO improvements such as:

• Improving page speed

• Structuring headers

• Fixing crawl issues

• Updating sitemap.xml

• Improving mobile performance

Users may NOT:

• Install unauthorized plugins, scripts, or software

• Modify robots.txt without written approval

• Change core website code without permission

• Add or remove tracking scripts without authorization

9. ADVERTISING, DISCLOSURE & LEGAL COMPLIANCE

SEO content must comply with:

• FTC disclosure rules

• Platform content rules

• State and federal advertising laws

• Google Search and Google Ads policies

• Housing, lending, and investment advertising requirements

No SEO-created content may promise:

• Guaranteed income

• Guaranteed investment returns

• Financial outcomes

• Legal or professional advice

10. REGULATORY + BRAND PROTECTION REQUIREMENTS

Users agree to protect:

• The integrity of the Bangs & Hammers brand

• The Company’s reputation

• The accuracy of educational materials

• Compliance with community and housing standards

Users may not create SEO content that could:

• Mislead readers

• Misrepresent the Company

• Conflict with pending legislation or regulatory frameworks

• Undermine the Company’s ethical guidelines

11. LIMITATION OF LIABILITY

To the fullest extent allowed by law:

Spuncksides Promotion Production LLC is not liable for:

• Search ranking fluctuations

• Loss of traffic or revenue

• Algorithm-based penalties

• Mistakes in SEO content

• Third-party SEO consultant errors

• Misuse of AI-assisted SEO content

• Technical failures or platform outages

Users agree to indemnify the Company for damages caused by their SEO actions.

12. TERMINATION OF SEO PRIVILEGES

The Company may terminate SEO access or privileges if:

• Terms are violated

• Harmful or unethical SEO practices occur

• Unauthorized content changes are made

• Brand safety is compromised

• AI tools are misused for spam or black-hat activities

Termination does not entitle users to refunds or compensation.

13. GOVERNING LAW

This Agreement is governed by the laws of the State of Michigan.
